In connection with the services provided by Better Ledger Inc., clients may share confidential information that requires protection. To ensure the safeguarding of such information and preserve confidentiality necessary under patent and/or trade secret laws, the following terms are agreed upon:

Confidential Information: Client shall provide information that is confidential and proprietary, including but not limited to trade secrets, technical data, and other sensitive information.

Obligations of Confidentiality: Better Ledger Inc. agrees to:

  • Keep all confidential information strictly confidential and not disclose it to any third party without prior written consent from Client.
  • Use confidential information solely for the purpose of providing services to Client.
  • Take all necessary measures to protect confidential information and maintain its confidentiality.
  • Return or destroy all confidential information upon request by Client.

Preservation of Confidentiality: Both parties acknowledge the importance of maintaining confidentiality and agree to take all necessary steps to preserve it.

CONFIDENTIALITY INFORMATION

The confidential information to be disclosed includes, but is not limited to:

  • Invention descriptions and technical data
  • Proprietary ideas, patentable ideas, and trade secrets
  • Drawings, illustrations, and patent searches
  • Product and service information (existing and contemplated)
  • Research and development, production, costs, profit, and margin information
  • Finances, financial projections, customers, clients, marketing, and business plans (current and future)

Obligations of Confidentiality

Better Ledger Inc. agrees to:

  • Limit disclosure of confidential information within its organization to affiliates with a need-to-know
  • Not disclose confidential information unless required by law
  • Not use confidential information for any purpose other than providing services to the client

Exceptions

This agreement does not apply to confidential information that:

  • Was already in Better Ledger Inc.'s possession before receipt from the client
  • Becomes public knowledge through no fault of Better Ledger Inc.
  • Is rightfully received from a third party with no duty of confidentiality
  • Is disclosed without a duty of confidentiality to a third party by or with the client's authorization
  • Is public knowledge or available in the public domain
  • Is independently derived by Better Ledger Inc.

Entire Agreement

This agreement constitutes the entire understanding between the parties regarding confidential information disclosure. Any modifications or additions must be made in writing and signed by both parties.

Enforcement

If any provisions are found unenforceable, the remainder will be enforced to the fullest extent possible, and the unenforceable provisions will be deemed modified to permit enforcement of the agreement as a whole.

Consequences of Unauthorized Activities

The client is solely responsible for any consequences, losses, or damages resulting from unauthorized activities and may incur criminal or civil liability.
